Why Is Johnson Fistel Investigating Herbalife?
After the market closed on August 5, 2026, Herbalife CEO Stephan Gratziani told investors that the company had “a clear strategy” and “a long-term vision” and was “just getting started.” Herbalife also announced that CFO John DeSimone would retire at year-end and described his planned succession as a “seamless transition.”
Twenty-six days later, Herbalife announced that Gratziani would leave the CEO position, become a consultant, and refocus on his independent Herbalife distributorship of nearly 700,000 distributors and preferred members. Herbalife named no permanent successor and appointed the already-retiring DeSimone as interim CEO.
A publicly filed agreement states that Gratziani’s distributorship generated approximately $5 million in annual marketing-plan payouts. Herbalife made available approximately $9.75 million in cash and stock appreciation rights in connection with suspending the distributorship, but its payout rights resumed January 1, 2026, while operations remained locked through year-end.
Johnson Fistel is investigating whether Herbalife adequately disclosed Gratziani’s anticipated departure, his distributorship-related financial interests, and the company’s CEO succession plans.
